Terms of Service

These Terms of Service (“Terms”) govern the provision of design and related creative services by K&Zh OÜ (“we”, “us”, “our”) and the use of www.kz.design (the “Website”). By engaging our services or using the Website, you (“Client”, “you”) agree to these Terms.

We provide design and creative services, which may include web design and development, branding, UX/UI, and related deliverables, as described in the proposal, quote, or statement of work (“SOW”) agreed with you. The specific scope, deliverables, timeline, and price for each engagement are set out in the applicable proposal or SOW, which forms part of these Terms.

A project begins once you accept our proposal or SOW and, where applicable, pay the agreed deposit. Any change to the agreed scope may affect the price and timeline and will be confirmed in writing before the additional work proceeds.

- Fees are stated in the applicable proposal or SOW and are exclusive of any applicable taxes unless stated otherwise.
- Unless agreed otherwise, a deposit is payable before work begins, and the balance is invoiced according to the milestones or schedule in the SOW.
- Payments are processed securely through our payment provider, Stripe. By making a payment, you agree to Stripe’s applicable terms.
- Invoices are due by the date stated on the invoice. Late payment may result in suspension of work.

Cancellations and refunds are governed by our Cancellation / Refund Policy, which forms part of these Terms.

You agree to provide, in a timely manner, the content, materials, access, feedback, and approvals reasonably required for us to perform the services. You confirm that any materials you provide do not infringe the rights of any third party. Delays in providing these may affect the project timeline.

The number of revision rounds included is stated in the applicable proposal or SOW. Additional revisions or work beyond the agreed scope may be charged at our standard rates, confirmed with you in advance.

Upon full payment of all amounts due for a project, ownership of the final deliverables created specifically for you transfers to you, except for any third-party materials, stock assets, fonts, or pre-existing tools and components, which remain subject to their own licences. Until full payment is received, all deliverables remain our property. We may display non-confidential work in our portfolio and marketing unless agreed otherwise in writing.

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with a project and to use it only for the purpose of performing the engagement.

We provide our services with reasonable skill and care. Except as expressly stated, the services and deliverables are provided “as is”, and we do not guarantee any specific business outcome. To the extent permitted by law, all other warranties, whether express or implied, are excluded.

To the maximum extent permitted by law, our total liability arising out of or in connection with any engagement shall not exceed the total fees paid by you for that engagement. We shall not be liable for any indirect, incidental, or consequential losses, including loss of profit, revenue, or data.

Either party may terminate an engagement in accordance with the Cancellation / Refund Policy and the applicable SOW. On termination, you will pay for all services performed and costs incurred up to the date of termination.

This agreement is governed by the laws of Estonia, and any disputes will be resolved under the jurisdiction of Estonian courts.

We may update these Terms from time to time. The latest version will be available on the Website with an updated “Last updated” date. Engagements in progress continue under the Terms accepted at the time of the proposal or SOW unless agreed otherwise.
